Definitions

ST-FOUR refers to ST-FOUR Limited, UK Company Number 5575554

Customer (or Client) The organisation or person purchasing the goods and/or services specified in this document

Quote(s) refers to this quotation document

Pricing Confidentiality: Quotes and pricing terms are negotiated between the individual or entity in receipt of this quote (“Customer”) and ST-FOUR Limited and may be unique to the Customer. Therefore, and except as otherwise provided by law, Customer hereby agrees to keep the pricing arrangement confidential for a period of no less than three (3) years from the date of the signed quote. Customer will not use this Confidential Information in furtherance of its business, or the business of anyone else, whether or not in competition with ST-FOUR Limited.

No property or title to goods shall pass from ST-FOUR to the Customer unless and until the full amount of the value of the goods as quoted has been paid and ST-FOUR reserve the right to enter the premises where the goods are located to recover them once payment is overdue. Risk of damage to or loss in relation to the goods shall pass to the Customer at the time of delivery or, if the Customer wrongly fails to take delivery of the goods, at the time when ST-FOUR has tendered delivery of the goods.

Customer shall not (except with our prior written consent) during the term of this agreement or for a further period of 9 months after the termination or expiry of this agreement:

  1. directly or indirectly solicit or entice away (or attempt to solicit or entice away) from our employment any person who is, or has during the immediately preceding 9 months (for the avoidance of doubt, determined from time to time, as opposed to from the date of this agreement) been, employed by us in a sales or account management role in connection with this agreement or as an engineer in connection with the provision of the services under this agreement, other than by means of a national advertising campaign open to all comers and not specifically targeted at any of our employees.

  1. employ or engage any person who is, or has during the immediately preceding 9 months (for the avoidance of doubt, determined from time to time, as opposed to from the date of this agreement) been, employed by us in a sales or account management role in connection with this agreement or as an engineer in connection with the provision of the services under this agreement.

Documentation and Time Sheets for engineering work will be completed, where relevant, as part of any quoted engineering time.

By agreeing to any work the Customer agrees to sign off immediately any engineering time sheet presented to the Customer by ST-FOUR staff. The Customer also agrees that any engineering work will be deemed to have been carried out to the Customers full satisfaction unless the Customer has written any dissatisfaction in the “Customer Comments” section on a signed engineering time sheet.

If this quote contains a free offer then all customer requirements of the offer must be met otherwise the customer agrees to pay ST-FOUR for any goods provided and services rendered under said offer.

ST-FOUR’s standard working day will be on weekdays or weekends as specified in this document between 09:30 and 17:30 unless otherwise specified. Any work will be carried out remotely at ST-FOUR’s discretion unless specified or otherwise agreed in advance.

Travel & Subsistence Expenses, if incurred and not specifically quoted for, will be invoiced in addition to any quoted costs.

ST-FOUR requires that existing systems can be brought down as required. Any changes to the Customers systems that are not part of this quote but are required in order to complete the work quoted must be completed before project work commences. Any other requirements that the Customer may need to undertake before work commences are completed before project work commences.

Any work required that is not part of this quote and any delays that may occur that are not directly ST-FOUR’s fault may be charged at additional cost. Any charges for overtime required in addition to a standard working weekday will be charged at 1.5x quoted costs.

ST-FOUR Will not undertake any work on customer user devices unless specifically stated to be part of the project work

ST-FOUR Does not Accept any responsibility for issues with data corruption or for problems with existing systems that existed pre-project and were not highlighted to ST-FOUR.

ST-FOUR Accepts that Customers may wish to purchase licenses and/or hardware from other vendors and while we would prefer that you buy all goods and services from ourselves we will accept part-purchase of quotes on the understanding that ST-FOUR will take no responsibility for project delays and/or additional costs caused by late delivery of goods, faulty goods, additional goods that may be required or goods that are unsuitable for project requirements even where goods ordered match those quoted for by ST-FOUR.

ST-FOUR operates on a scheduled booking time basis. If the customer wishes to cancel or reschedule a booking the customer agrees to provide MORE than 2 working days notice before the scheduled booking time. Otherwise the customer agrees to pay the full cost of the booking. ST-FOUR has the only right to be flexible in this matter.

All prices exclude VAT at 20% unless otherwise specified in this document.

This quotation is valid for 20 days from the Quote Date unless otherwise specified.

Payment terms are full payment within 30 days unless otherwise specified.
